PLEASE READ THESE CREATOR PROGRAM TERMS CAREFULLY.
The Keragon Creator Program (the "Program") is operated by Keragon Inc., 500 7th Avenue, New York, NY 10018 ("Keragon", "we", "us" or "our"). It is for people who publish video content about Keragon on their own channels ("Creators", "you"). These Creator Program Terms supplement the Keragon Affiliate Program Terms & Conditions and the general Keragon Terms of Service. If you do not agree, you may not participate in the Program.
1.1 Relationship to other terms. The Program is part of the Keragon Affiliate Program. By joining, you agree to these Creator Program Terms, the Affiliate Program Terms and Keragon's Terms of Service. If these Creator Program Terms conflict with the Affiliate Program Terms, these Creator Program Terms apply to your participation in the Program.
1.2 Applying. You apply through the form on keragon.com/partners/creator. Meeting the eligibility criteria does not guarantee acceptance. Places are limited, and we may accept or decline any application at our sole discretion.
1.3 Acceptance. You become a Creator only when we confirm your acceptance in writing (email is enough). The agreement starts on that date.
1.4 Eligibility. You must be at least 18 years old, able to enter a binding contract, and publish content regularly on at least one public channel you control.
Every accepted Creator gets a unique affiliate link and earns commission on referred customers who sign up through it and become paying customers.
Your commission rate, including the rate for Keragon Agents referrals, is the one shown on the Creator Program page when your referral makes their first payment, or the one we confirm with you in writing. A rate we confirm in writing takes priority. It's also shown in your PartnerStack dashboard. Commission is paid on the first 12 payments a referred customer makes, within 12 months of their first payment.
2.1 What counts. Commission is calculated on base plan fees (Starter, Professional and Scale Up), billed monthly or annually. An annual plan is paid upfront as one payment. Extra workflow runs, extra AI credits, other usage-based fees and Enterprise or custom contracts earn no commission, unless we agree otherwise in writing.
2.2 Commission follows payments. You earn commission only on payments Keragon actually receives. If a referred customer cancels or stops paying, commission stops from that point, even within the 12 months. If they move to a cheaper paid plan, commission is calculated on the new amount.
2.3 What doesn't count. Self-referrals, existing Keragon customers (anyone who already had a paid Keragon subscription before your referral), and refunded, failed or charged-back payments earn no commission. Clawback rules in the Affiliate Program Terms apply.
2.4 Tracking. Attribution runs through PartnerStack. A referral counts if the customer signs up within the attribution window shown in your PartnerStack dashboard. If we change the window, the change applies only to clicks after it takes effect. Only signups through your link count. Featuring your video on keragon.com doesn't change this: a viewer counts as your referral only if they sign up through your link. If you think a referral wasn't tracked, email creators@keragon.com within 30 days and we'll review it in good faith.
2.5 Agents referrals. When you promote Keragon Agents, use the separate Agents link we give you. A referral counts as an Agents referral when the customer signs up through that link and has created and run at least one agent within 30 days of their first payment. If they haven't, the referral earns the standard rate instead.
2.6 Changes to rates. We may change commission rates with notice. Changes apply only to referrals whose first payment is after the change takes effect.
Accepted Creators get 2 months of the Keragon Professional plan at no cost, to build and record Program content.
3.1 The 2 months start on the day we activate the plan on your account.
3.2 After 2 months, your account stays open and works like any account after a free trial ends. To keep using paid features, upgrade to a paid plan.
3.3 The plan has no cash value, can't be transferred, and is governed by Keragon's Terms of Service.
3.4 We may extend the plan while you're actively publishing Program Content, or at our discretion, for example while you finish a video.
You own the videos you make. You give Keragon permission to share and feature them.
4.1 Ownership. You keep all rights in your videos ("Program Content"). Keragon keeps all rights in its product, trademarks and materials.
4.2 License to Keragon. You grant Keragon a non-exclusive, royalty-free, worldwide license to share, embed, link to, excerpt and feature your Program Content, along with your name, handle and likeness as they appear in it. This covers keragon.com (including integration, template and creator pages), Keragon's social channels, emails and other marketing. Using your Program Content or likeness in paid ads needs your approval first. When we use excerpts, we'll credit you and won't edit them in a way that changes your meaning.
4.3 Featuring is not guaranteed. We decide, at our sole discretion, which videos to promote or feature, if any, based on quality.
4.4 Template placement (optional). If you build a Keragon template or agent and choose to submit it, we may publish it and place your video on the matching template page.
4.5 Removal. You can ask us to stop featuring a video at any time by emailing creators@keragon.com. We'll remove it from places we control within 10 business days. We don't need to recall materials already distributed, such as sent emails.
4.6 Third-party material. You confirm your Program Content doesn't infringe anyone else's rights, including music, footage and trademarks.
4.7 Using Keragon's brand. Use Keragon's name, logos, colors and font only as provided in the Keragon Brand Kit, and only as allowed by the trademark license in the Affiliate Program Terms. Don't alter, recolor or redraw the logo.
Keragon is a HIPAA-compliant platform used in healthcare, so these rules are strict.
5.1 Disclose the relationship. Clearly disclose that you have an affiliate or paid relationship with Keragon in every piece of Program Content, in line with applicable law (including the FTC Endorsement Guides) and the rules of the platform you post on. Use the platform's paid-promotion label where one exists.
5.2 No real patient data. Use only the synthetic data provided in your Keragon account. Never show, upload or process real patient information (PHI), real patient names, live credentials, API keys or customer data in Program Content.
5.3 Describe Keragon accurately. Don't make claims about compliance, security, results, savings or features that Keragon hasn't published. Use "HIPAA-compliant" as Keragon does, and don't promise compliance outcomes for a viewer's own setup.
5.4 Corrections. We may ask you to correct or remove content that is inaccurate (it contradicts Keragon's published documentation or website) or breaks these terms. You agree to fix or unlist it within 5 business days. Content that shows real patient data must come down within 1 business day.
5.5 Prohibited practices. All prohibited practices in the Affiliate Program Terms apply, including spam, self-referrals and paid ads that bid on "Keragon" or related keywords without our written approval. You're free to promote your own Program Content, including with paid ads on your own channels. Whether Keragon promotes or features a video is our decision alone (section 4.3).
6.1 Payouts. Commission is paid as set out in the Affiliate Program Terms: through PartnerStack, on NET-60 terms, once you have at least USD 100 in commission. For Creators, the minimum number of paying customers in the Affiliate Program Terms doesn't apply.
6.2 Separate paid agreements. We may offer some Creators a separate paid agreement for specific content or for using your content in paid ads. Its terms are agreed in writing and apply alongside these terms.
6.3 Taxes. You're responsible for any tax on payments or rewards you receive, and for giving us or our payment provider the tax forms they request. PartnerStack collects the right form for your country (for example W-9 in the US, W-8BEN for most creators outside the US).
6.4 Termination. Either of us can end your participation at any time by email. We may remove you from the Program for fraud or a material breach of these terms, and withhold unpaid commission from the fraudulent referrals or tied to the breaching content. If we end your participation without cause, we still pay commission you've already earned. When you leave, stop using your affiliate link and Keragon's brand. Section 4's license continues for Program Content published before you left, until you ask us to remove it.
6.5 Changes. We may change, suspend or end the Program, or update these terms, with notice by email or on this page. If you don't agree, you can leave the Program.
6.6 Extras. Accepted Creators may also get extras such as a Verified Creator badge, a private creator Slack, early access to new features and feedback on draft videos. These are offered at our discretion and may change or end at any time.
6.7 Independent creator. You take part as an independent creator. This creates no employment, agency, partnership or endorsement relationship, and you can't make commitments on Keragon's behalf.
6.8 Emails. Applying signs you up for service emails about your application and participation. Keragon's marketing emails are separate and opt-in.
6.9 Liability, indemnity and law. The indemnity, limitation of liability and governing law (Delaware) sections of the Affiliate Program Terms apply to the Program.
