This Integration Partners Program Agreement ("Agreement") governs your participation in the Keragon Integration Partners Program ("Program"). By accessing or using any part of the Program, you agree to be bound by this Agreement AND the general Keragon Terms of Service (available at https://www.keragon.com/legal/terms). If you do not agree, you may not participate in the Program.
Subject to your compliance with this Agreement, Keragon grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:
a. Use the Documentation internally solely for developing Integrations;
b. Use and modify Sample Code strictly for developing Integrations;
c. Use the Keragon APIs strictly for linking Integrations; and
d. Incorporate unmodified Libraries and modified or unmodified Sample Code into Integrations and distribute them solely through the Services.
These rights are limited to developing and distributing Integrations that interface with the Services, as permitted in the Documentation and in compliance with Keragon's Terms of Service.
You agree not to:
a. Redistribute, sell, lease, license, copy, publicly perform or display, transmit, publish, edit, adapt, create derivative works of, modify, or otherwise exploit any part of the Program, except as expressly permitted herein;
b. Use the Program to develop products or services that compete with Keragon;
c. Use the Program in any unlawful manner or in violation of any applicable laws or regulations;
d. Use the Program to transmit any viruses, malware, or other harmful computer code;
e. Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
f. Attempt to gain unauthorized access to the Services or related systems or networks.
Keragon retains all rights, title, and interest in and to the Program, including all intellectual property rights. Your use of the Program does not grant you any ownership rights therein.
Keragon may terminate or suspend your access to the Program at any time, with or without cause. Upon termination, all rights granted to you under this Agreement will cease, and you must cease all use of the Program and destroy any copies of Program materials in your possession.
The Program is provided "as is" without warranty of any kind. Keragon disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Keragon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of the Program.
Keragon reserves the right to modify this Agreement at any time. We will provide notice of such changes by via electronic means (which may include email) and by updating the "Last Updated" date above. Your continued use of the Program after any such changes constitutes your acceptance of the new terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
